Definitions:
ATA ATA Engineering Pty Ltd (ACN 106 022 833).
Client The party who purchase the services of ATA for a fee and/or their representative.
Services That which is defined in the attached documentation.

Fee That which payable by the client to ATA for the services defined in the attached document and these terms & conditions.
Confidentiality & Title:

• All the information contained in the attached documentation is proprietary to ATA, is confidential, trade sensitive and is submitted solely for the purpose for the evaluation purpose and for the purpose of allowing ATA to participate in the assessment process.
• By receiving the attached documentation the client accepts the obligation to use the documentation solely for the purpose and shall not disclose the information to any third party whatsoever or copy or reproduce the information in anyway without the prior written consent of ATA.
• This documentation contains confidential material solely for the client. All reasonable precautionary methods in handling the documentation and the information contained herein should be taken to prevent any third party from obtaining access. No responsibility is taken by ATA for the use of this document by any third party.
• All documentation produced by ATA in the provision of services remains the title and copyright of ATA. The client may not copy or use the documentation with out the written approval of ATA. The services provided to the client may be used in future documentation of ATA.
• Any dispute shall be settled by an independent party from the Institute of Engineers.

• Payment is due seven (7) days from date of invoice, to be received by ATA on or before the due date unless previously agreed.
• In the event that the payment is not made by the due date the client agrees to pay interest on all past-due amounts at the rate of 10% per annum, calculated daily and to pay collection and other costs incurred by ATA including but not limited to reasonable attorney fees.
• In the event that the contract is cancelled, terminated or delayed then the client shall reimburse all cost associated with the services executed including overheads and profits. Notice of cancellation or termination must be given in writing and pro rata payment for the services provided made.
• GST will be added at the rate of 10% or other applicable percentage that may be legislated by the Government from time to time and be payable by the client to ATA.

• ATA will take reasonable care to act professionally and provide valued engineering advice to the client as is understood under the Professional responsibilities defined by the Institute of Engineers.
• ATA reserve the right to, at no cost to the client, sub contract to appropriately qualified party’s any of the services that they are to provide to the client.
• The client will provide all information freely and without prejudice to enable ATA to provide the services outlined.
• The client will pay an appropriate level of reimbursements for any additional services not outlined in the attached documentation.
• Liability shall be limited to the lesser of the costs to rectify the error, $100,000.00 or twice the agreed fee.
• The fee for the services in the documentation is open for acceptance for a period of twenty (20) days from the date of submission. Confirmation of fee will be required after this date.
